ColdIQ Accelerator – Terms & Conditions

0. Acceptance of Accelerator Terms & Website Use
This website (the "Site") is owned and operated by ColdIQ LLC, a Wyoming-registered company with address at 1021 E Lincolnway, 6930, Cheyenne, WY 82001.
By accessing or using this Site, its content, or services offered under the Accelerator program — whether automated or otherwise — you agree to be bound by these Accelerator Terms & Conditions (the "Terms"), our Privacy Policy, and any additional terms referenced or provided on specific pages or services related to the Accelerator program. If you are accepting these Terms on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
We reserve the right to update these Terms at any time with 30 days' advance notice via email or dashboard notification. Continued participation in the Accelerator program after changes are posted constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must discontinue participation in the Accelerator program.
All intellectual property presented on the Site, including training materials, frameworks, visuals, brand assets, and code, is the property of ColdIQ LLC unless otherwise stated.
These Accelerator Terms & Conditions supplement and, to the extent of any direct inconsistency, will control over ColdIQ LLC's general Site Terms & Conditions. In all other respects, the general Site Terms & Conditions continue to apply in full force.
1. Parties and Scope
These Terms apply between ColdIQ LLC ("ColdIQ", "we", "our") and the customer ("Client", "you"), who has enrolled in the ColdIQ Accelerator program.
By using the Accelerator services, you agree to these Terms. If you disagree with any part of these Terms, you may not use the Accelerator program services.
These Accelerator Terms & Conditions supplement and, to the extent of any direct inconsistency, will control over ColdIQ LLC's general Site Terms & Conditions. In all other respects, the general Site Terms & Conditions continue to apply in full force. These Terms supersede any prior agreements, proposals, or representations relating to the Accelerator program, unless expressly incorporated in writing.
2. Term & Renewal
These Terms become effective on your onboarding date and remain valid for six (6) months, unless otherwise agreed in writing.
Post-Program Subscription: After the initial 6-month program period, you will automatically be enrolled in a $199/month subscription to maintain access to:
Slack community channels
Live group coaching sessions
Updated materials and resources
Subscription Cancellation: You may cancel the monthly subscription at any time with 30 days' written notice. Without cancellation notice after the initial 6-month program, the subscription will continue monthly until terminated.
Early Termination: Either party may terminate the initial 6-month program with 30 days' written notice. Upon termination, access to all materials and services will cease immediately, and no monthly subscription will commence. All amounts paid or payable through the termination date are non-refundable, in accordance with Section 6 below.
3. Eligibility & Account Security
You must be at least 18 years old and legally capable of entering binding contracts to use ColdIQ's Accelerator program services.
Account Security: You are responsible for:
Maintaining confidentiality of login credentials
All activities under your account
Immediately notifying us of unauthorized access
Using strong, unique passwords
Business Representation: If acting on behalf of a business, you warrant that you have authority to bind that entity to these Terms.
4. Services Provided
As part of the Accelerator program, you will receive access to:
The full Accelerator training platform (video modules, templates, SOPs)
Weekly group coaching and implementation calls
Private community channels (Slack, Discord, or similar)
ColdIQ AI workflows, outbound systems, and sales scripts
A 1:1 onboarding session with a ColdIQ expert
(Optional) Done-For-You support depending on your selected plan
Service Availability: We strive for 99% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced 48 hours in advance when possible.
Content Updates: Course materials may be updated, modified, replaced, or removed at our discretion to improve quality, compliance, or user experience. We are not obligated to maintain any specific content or features.
5. Client Responsibilities & Prohibited Uses
By participating in the Accelerator program, you agree to:
Provide accurate and complete onboarding information
Actively participate in scheduled calls and complete core assignments
Set up and manage your own outreach systems (email + LinkedIn)
Use provided materials responsibly and respect all usage limitations
Comply with all applicable laws and platform-specific terms (e.g. LinkedIn, email software, API tools)
Maintain professional conduct in all community interactions
Prohibited Uses: You may not:
Share, resell, or redistribute ColdIQ materials without written consent
Use ColdIQ materials for illegal, unethical, or spam activities
Reverse engineer, copy, or create derivative works from any ColdIQ materials or platform content
Harass, abuse, or discriminate against other community members
Use automated tools to scrape or extract content from our platform
Engage in activities that violate CAN-SPAM, GDPR, or other applicable regulations
Compliance Responsibility: You are solely responsible for ensuring your outreach activities under the Accelerator program comply with all applicable laws, including but not limited to CAN-SPAM Act, GDPR, CCPA, and LinkedIn's Terms of Service.
6. Payment Terms & No Refund Policy
Payment: All fees must be paid in advance via the payment methods specified during enrollment. Late payments may result in service suspension.
Monthly Subscription Billing: The $199/month post-program subscription will be automatically charged to your payment method on file. You are responsible for maintaining current payment information. Failed payments will result in immediate loss of community and session access.
No Refunds: ColdIQ does not offer refunds under any circumstance, including but not limited to:
Dissatisfaction with content or results
Technical difficulties on your end
Changes in business circumstances
Failure to achieve desired outcomes
Monthly subscription fees (pro-rated refunds not available)
This no-refund policy applies even if you terminate the Accelerator program early in accordance with Section 2 above.
7. Ownership & Intellectual Property
ColdIQ IP: All ColdIQ materials, strategies, frameworks, software, and content remain the exclusive intellectual property of ColdIQ LLC. This includes:
Training videos and written materials
Templates, scripts, and workflows
Proprietary methodologies and systems
Community content and discussions
License Grant: You are granted a limited, non-transferable, non-exclusive, revocable license to use ColdIQ materials solely for your own internal business purposes during and after the Accelerator program. You may not share, resell, sublicense, or distribute such materials without ColdIQ's prior written consent.
Client IP: Any custom assets created specifically for your business (e.g. CRM setup, domains, outreach scripts) using our frameworks remain yours to keep.
Feedback & Suggestions: Any feedback, suggestions, or ideas you provide become ColdIQ's property, without any obligation of confidentiality or compensation.
8. Confidentiality & Data Protection
Mutual Confidentiality: Both parties agree to keep confidential any proprietary or sensitive information shared throughout the engagement, except for information that: (a) is or becomes publicly available without breach of these Terms; (b) was already lawfully known to the receiving party; (c) is independently developed by the receiving party without use of the disclosing party's confidential information; or (d) must be disclosed to comply with applicable law or legal process.
Marketing Use: ColdIQ may share anonymized or de-identified "wins" or case studies for marketing purposes unless you opt out in writing within 30 days of enrollment.
Data Collection: We collect and process personal data in accordance with our Privacy Policy. By participating in the Accelerator program, you consent to such collection and processing.
Data Retention: We retain your data for the duration of the program plus 2 years for business and legal purposes.
9. Non-Compete & Non-Solicitation
Non-Compete: For the duration of the program and 12 months following its completion, you agree not to:
Launch or sell a paid program or course that teaches how to build an AI-driven outbound acquisition system in direct competition with ColdIQ's Accelerator program
Partner with or advise direct competitors offering substantially similar services to the Accelerator program
If any portion of this restriction is found to be invalid or unenforceable, that portion will be modified or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
Non-Solicitation: You agree not to solicit other ColdIQ clients, team members, or contractors for 18 months after program completion.
Permitted Activities: You may:
Offer general business, sales, or marketing coaching
Use outbound or AI tools for your own business or agency
Implement learned strategies in your own business
10. Disclaimers & Risk Acknowledgment
No Guarantees: Except for the Implementation Guarantee specified in Section 6, ColdIQ does not guarantee:
Specific revenue, deal volume, or client acquisition results
Platform performance, deliverability, or lead quality
Any outcomes impacted by changes in external tools (e.g. Clay, Instantly, LinkedIn)
Compliance with third-party platform terms or policies
Educational Nature: The Accelerator program is educational and informational. Results vary based on your effort, execution, market conditions, and external factors beyond our control.
Third-Party Risks: You acknowledge risks associated with third-party platforms and tools, including potential account suspensions, policy changes, and service disruptions.
Market Changes: Digital marketing and outreach strategies may become less effective due to platform updates, regulatory changes, or market saturation.
11. Limitation of Liability
Liability Cap: ColdIQ's total aggregate liability under these Terms is strictly limited to the total amount paid by you under these Terms.
Excluded Damages: In no event shall ColdIQ be liable for:
Indirect, incidental, special, consequential, or punitive damages
Lost profits, revenue, or business opportunities
Third-party tool malfunctions, outages, or policy violations
Data loss or corruption
Account suspensions on third-party platforms
Missed opportunities or lost business relationships
Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, or third-party service disruptions.
12. Community Guidelines & Content Moderation
Community Standards: All participants must:
Maintain professional and respectful communication
Avoid sharing competitors' proprietary information
Respect others' privacy and confidentiality
Refrain from promotional activities without permission
Content Moderation: While we moderate community spaces, ColdIQ is not liable for content shared by other members to the fullest extent permitted by law. We reserve the right to remove content and suspend accounts for violations.
Reporting: Inappropriate content can be flagged and will be reviewed within 5 business days.
User-Generated Content: By posting in community channels, you grant ColdIQ a royalty-free license to use, modify, and display your content for community purposes.
13. Dispute Resolution & Governing Law
Informal Resolution: Disputes will first be addressed via a 30-minute video call within 30 days of the dispute arising.
Binding Arbitration: If unresolved, disputes will be settled through binding arbitration, to which both you and ColdIQ agree, conducted remotely under the American Arbitration Association (AAA) Commercial Arbitration Rules.
Arbitration Limitations:
Single arbitrator appointed by AAA
Wyoming law applies
English language proceedings
Each party bears own costs unless otherwise awarded
Class Action Waiver: You waive any right to participate in class action lawsuits or class-wide arbitration.
Governing Law: These Terms are governed by Wyoming state law without regard to conflict of law principles.
Jurisdiction: For any disputes not subject to arbitration, Wyoming state courts shall have exclusive jurisdiction.
14. Changes to Terms & Communication
Amendment Process: We may revise these Terms with 30 days' advance written notice via:
Email to your registered address
Notification in your client dashboard
Posted notice on our Site
Material Changes: For significant changes affecting your rights or obligations, to be determined in our sole reasonable determination, we will provide 60 days' advance written notice and an opportunity to terminate without penalty.
Communication Preferences: You consent to receive communications via email, SMS, and in-app notifications. You may opt out of marketing communications but cannot opt out of service-related notices.
15. Final Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any referenced policies, constitute the complete understanding between parties with respect to the Accelerator program and supersede all prior agreements relating to the Accelerator program.
Amendments: Modifications must be in writing and signed by authorized representatives of both parties, except for updates made in accordance to Section 14.
Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.
Assignment: You may not assign or transfer these Terms without ColdIQ's written consent. ColdIQ may assign these Terms to affiliates or in connection with a business transfer.
Survival: Sections 7 (IP), 8 (Confidentiality), 9 (Non-Compete), 10 (Disclaimers), 11 (Liability), and 13 (Disputes) survive termination.
Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
Headings: Section headings are for convenience only and do not affect interpretation.
